Client Services Agreement

This agreement sets out how I work with you on UX audits and design reviews. It is written in plain language so we both know what to expect, with no surprises along the way.

Services

I provide independent UX audits, usability reviews, and product design consultancy. The exact scope of work, whether that is a single page review, a full product audit, or an ongoing advisory arrangement, is agreed with you in writing before any work begins.

Each engagement is fixed in scope. If you would like to expand the work after we have started, we will simply agree the additional scope and any related fee before I continue.

Deliverables

Unless agreed otherwise, deliverables typically include a written audit document with prioritised findings, specific and actionable recommendations, and supporting annotations or examples where useful.

Delivery timelines are agreed at the start of each project. I will keep you informed of progress and flag anything that may affect the agreed schedule as early as possible.

Client Responsibilities

To deliver useful, accurate work, I rely on you to:

  • provide timely access to the product, designs, or materials being reviewed;
  • share relevant context, goals, and any known constraints;
  • nominate a point of contact who can answer questions and give feedback;
  • respond to requests for information within a reasonable timeframe.

Delays in providing access or feedback may affect agreed timelines, but I will always do my best to keep things moving.

Fees and Payment

Fees are agreed in advance and are either fixed-scope or based on an agreed day rate. The amount, payment schedule, and any deposit will be confirmed in writing before work begins.

Invoices are due within 14 days of the invoice date unless we agree otherwise. For larger projects, I may request a deposit before starting and stage payments at agreed milestones.

Intellectual Property

Once payment has been received in full, you own the deliverables I produce specifically for you, such as the written audit and its recommendations.

I retain ownership of any underlying methods, frameworks, templates, and general know-how I use to carry out the work. These remain mine to reuse across other engagements.

Confidentiality

I treat any non-public information you share, including product plans, metrics, and internal materials, as confidential. I will not disclose it to third parties or use it for any purpose other than delivering your project.

This obligation continues after our engagement ends. I am happy to sign a separate NDA if you prefer.

Liability

My recommendations are professional opinions intended to help you improve your product. You remain responsible for deciding which changes to implement and how.

To the extent permitted by law, my total liability in connection with any engagement is limited to the fees paid for that engagement. I am not liable for indirect or consequential losses such as lost profits or business interruption.

Case Studies

I would love to reference our work together as a case study or portfolio example. I will only do so with your prior agreement, and I am happy to anonymise details or keep specifics confidential if you prefer.

You can withdraw permission for future use of a case study at any time by letting me know.

Cancellation

Either of us can end an engagement in writing. If you cancel after work has begun, you agree to pay for the work completed up to that point, plus any non-recoverable costs already committed on your behalf.

For fixed-scope projects, deposits cover work already scheduled and reserved and are non-refundable once the project has started.

Governing Law

This agreement is governed by the laws of England and Wales, and any disputes will be subject to the exclusive jurisdiction of the courts of England and Wales.
